Venture X Membership Terms and Conditions

These General Terms and Conditions apply to Office/Coworking, Virtual Office and Membership agreements for services supplied to you by Venture X.

General Agreement

  • Nature of an agreement: At all times, each Venture X location remains in our possession and You accept that an agreement creates no tenancy interest, leasehold estate, or other real property interest in your favor with respect to the accommodation. Occupation of the Venture X premises by you is the commercial equivalent of an agreement for accommodation in a hotel. Venture X gives you the right to share the use of the Venture X location with our staff and members and other clients.
  • House Rules: The House Rules, which are incorporated into these terms and conditions, are in place and enforced to ensure that all clients have a professional environment to work
  • Availability at the start of an agreement: If for any reason Venture X cannot provide the services or accommodation at the location stated in an agreement by the start date, Venture X shall have no liability to you or your company for any loss or damage but you may either move to another Venture X location (subject to availability), delay the start of the agreement or cancel it.

1.4            VENTURE X MEMBERSHIP RENEWAL:

The terms set forth in this agreement reflect specific notice renewal periods that are required to be met by you. All agreements will present an end date, being the last date of the calendar month. Venture X will reach out to you 30 days prior to your renewal deadline. Should you not respond to the email, your membership will renew for the current term length and at a 5% increase. If you would like to renew for another term length or decline renewal, we must have a response to that email before the last day of the month you were contacted in.

If we do not hear from you via writing in email, Venture X has the right to proceed with the following actions:

If Venture X has not received the current member’s renewal decision or notice of termination on or before the renewal deadline date presented in the Membership Agreement Terms, then current member’s office or Desk space is subject to be released with another interested party that has signed a Contingent Membership Agreement and submitted a deposit. The new interested party’s official Membership Agreement will go into effect after the end date of the current member’s agreement.

If Venture X does not have a Contingent Membership Agreement in place, nor received a renewal decision, the current member will be automatically renewed for the same term and with a 5% monthly rate increase. This agreement will be effective per the terms of the original agreement and will not require a new signature.

MEMBERSHIP NOTICE RENEWAL PERIODS: (Based on license agreement term)

  1. MONTH-TO-MONTH AGREEMENTS: No less than 60 days’ notice from the first day of the calendar This is applicable to all Venture X Membership Products.
  2. 1-3 MONTH AGREEMENTS: No less than 60 days’ notice from the first day of the calendar This is applicable to all Venture X Membership Products.

 

 

 

 

  1. GREATER THAN 3-MONTHS AGREEMENTS: No less than 90 days’ notice from the first day of the calendar This is applicable to all Venture X Membership Products.

1.5            Venture X may elect not to renew a membership contract. If so, Venture X will provide you with notice via email at least 30 days out from the end of your current agreement term.

  • In the event that Venture X is permanently unable to provide the services and accommodation on the premises stated in your agreement, Venture X will offer you accommodation at one of our other Venture X In the unlikely event Venture X is unable to find alternative accommodation that is acceptable to you, your agreement will terminate, and you will only have to pay monthly fees up to that date and for any additional services you have used.
  • Terminating an agreement immediately: Venture X may terminate your agreement immediately by giving you notice if (a) you become insolvent or bankrupt; or (b) you breach one of your obligations which cannot be cured, or which we have given you notice to cure and you have failed to do so within 14 days of that notice; or (c) your conduct, or that of someone at the Venture X location with your permission or invitation, is incompatible with professional office use and, (i) that conduct continues despite the notice that has been provided, or (ii) that conduct is conducive enough (in Venture X’s reasonable opinion) to warrant immediate termination; or (d) you are in breach of the “Compliance With Law” clause If Venture X puts an end to an agreement for any of the reasons referred to in this clause it does not put an end to any of your

contractual financial obligations, including, without limitation, for the remainder of contract period would have lasted if Venture X had not terminated it.

  • When an Office agreement ends: When an agreement ends you must vacate your office immediately, leaving it in the same state and condition as it was when you took occupancy of Venture X reserves the right to charge additional reasonable fees for any additional repairs above and beyond normal wear and tear. If any property is left in your office, we have the right to dispose of this at your cost without any financial responsibility to you for any of its proceeds of sale. If you do not vacate the office space when an agreement has ended, you are solely responsible for any use, loss, claim or liability we may incur as a result of your failure to vacate. Fees will be calculated by the day at a rate 15% higher than market rate
  • When additional services and/or packages are added into an agreement with a term, they may not be terminated until that term has When the renewal process has begun, you (the Member), can choose not to renew said additional service(s) and/or package(s). If you are on a month-to-month term, you must give a full 30-days’ written notice to terminate any additional service(s) and/or package(s).

2.            Use of the Venture X location:

  • Business Operations: You may not operate a business that competes with Venture X’s You are only permitted to use the address of this Venture X location as your registered office address if it is permitted by both law and if Venture X has given you prior written consent (given the additional administration, there is an additional fee chargeable for this service). You must only use the accommodation for office business purposes. If Venture X decides that a request for any service is excessive, Venture X reserves the right to charge an additional fee. To ensure that Venture X provides a great working environment for all, Venture X asks you to limit any excessive visits by members of the public.

2.2.                Accommodation

  • Alterations or Damage: As a member, you are liable for any damage caused by you, your company, your employees, or those visiting the Venture X location with your permission, whether express or , including but not limited to all employees, contractors and/or agents.
  • IT Installations: Venture X is very proud of our IT infrastructure and its Any installation, cabling, IT or telecom connections are prohibited without Venture X’s consent. Venture X has the right to refuse any of

 

these services at our discretion. In addition, and only after Venture X provides consent for such installation you must also permit a Venture X representative to oversee any such installations (for example IT, Telecom, or electrical systems) and to verify that such installations do not interfere with the use of the accommodation by other members, Venture X or any landlord of the building. Fees for installation and removal will be at the members cost.

 

  • Use of the Accommodation: An agreement will list the office Venture X has allocated for you and your company’s You will have a non-exclusive right to the office(s) allocated to you. Occasionally to ensure the efficient running of the Venture X location, Venture X may need to allocate different offices to you, but it will be of reasonably equivalent size and Venture X will notify you with respect to such different accommodation in advance.
  • Access to the Accommodation: In order to maintain exemplary service, Venture X may need to enter your office and may do so at any time, including without limitation, in an emergency, for cleaning, mail and/or package delivery, and inspection or in order to resell the space provided you have given notice to Venture X shall always do its best to respect any of the reasonable security procedures to protect the confidentiality of your business.

2.2.                Membership:

  • If You have subscribed to a Community Elite, Dedicated Desk Membership, or other premium agreement, you will have access to all Venture X locations to work within the common areas during standard business working hours with discounted member additional services.
  • Membership Usage: A day pay is measured in whole days and unused days cannot be carried over to the following Membership is not intended to be a replacement for a full- time workspace and all workspaces must be cleared at the end of each day. You are always solely responsible for your belongings at Venture X location. Venture X is not responsible for any property left unattended. Should you choose to use more than your membership entitlement, you will be required to buy additional day passes. You may bring in 1 guest free of charge (subject to fair usage). Any further guests will be required to purchase a day pass.

 

  • As a member, you may not use any other Venture X locations as your business address without an accompanying office or virtual office agreement in place with that other Any use of the Venture X address in such a way will result in an automatic enrollment in the Virtual Office product for the same term as your membership and you will be invoiced accordingly.
  • Compliance with Law: You must comply with all relevant laws and regulations in the conduct of your business. You must not do anything that may interfere with the use of the Venture X location by the staff or other members (including but not limited to political campaigning or immoral activity), cause any nuisance or annoyance, or cause loss or damage to Venture X (including damage to reputation) or to the owner of any interest in the If Venture X is advised by any government authority or other legislative body that it has reasonable suspicion that you are conducting criminal activities from the Venture X location, or you are or become subject to any government sanctions, then Venture X shall be entitled to terminate all of your agreements with immediate effect. You acknowledge that any breach by you, your company or your employees of this clause shall constitute a material default, entitling Venture X to terminate your agreement without further notice.

 

 

  • Data protection: You acknowledge that Venture X may collect and process personal data from you and your employees as strictly necessary to ensure compliance with applicable laws and regulations and to enable Venture X effectively to provide services to You acknowledge and accept that such personal data may be transferred or made accessible to other entities in the Venture X group, wherever located, for the purposes of providing the services, in each case in accordance with all applicable data protection legislation.

 

  • Employees: Both Venture X and you have invested a great deal in training of the our respective employees therefore, neither of us may knowingly solicit or offer employment to the other’s staff employed in the Venture X location (or for 3 months after they have left their employment). To recompense the other for staff training and investment costs, if either of us breaches this clause the breaching party will pay upon demand the other the equivalent of 6 months’ salary of any employee concerned as liquidated damages.
  • Confidentiality: The terms of an agreement are confidential. Neither of us may disclose them without the other’s consent unless required to do so by law or an official This obligation continues for a period of 3 years after an agreement ends.
  • Assignment: An agreement is personal to you and cannot be transferred to anyone else without prior consent from Venture X unless such transfer is required by However, Venture X will not unreasonably withhold our consent to assignment to an affiliate if you execute our standard form of assignment. Venture X may transfer any agreement and all amounts payable by you under an agreement to any other member of the Venture X group.
  • Applicable law: An agreement is interpreted and enforced in accordance with the law of the place where Venture X is Venture X and you both accept the exclusive jurisdiction of the courts of that jurisdiction. If any provision of these terms and conditions is held void or unenforceable under the applicable law, the other provisions shall remain in force.

3.            Liability and Insurance

  • Liability: To the maximum extent permitted by applicable law, Venture X is not liable to you in respect of any loss or damage you suffer in connection with an agreement, including without limitation any loss or damage arising as a result of our failure to provide a service as a result of mechanical breakdown, strike or other event outside of our reasonable control otherwise unless Venture X has acted In no event shall Venture X be liable for any loss or damage until you provide written notice and give Venture X a reasonable time to correct the issue. If Venture X is liable for failing to provide you with any service under an agreement, then, subject to the exclusions and limits set out immediately below, Venture X will pay any actual and the reasonable additional expense you have incurred in obtaining the same or similar service from elsewhere.

 

 

  • Insurance: It is your responsibility to arrange insurance for property which you bring into the Venture X location, for any post and packages you send or receive, and for your own liability to your employees and to third Venture X strongly recommends that you put such insurance in place.
  • IT Services and Obligations: Venture X has security internet protocols in place and strive to provide seamless internet connectivity, however VENTURE X DOES NOT MAKE ANY REPRESENTATION AND CANNOT GUARANTEE ANY MAINTAINED LEVEL OF CONNECTIVITY TO OUR NETWORK OR TO THE INTERNET, NOR THE LEVEL OF SECURITY OF IT INFORMATION AND DATA THAT YOU PLACE ON IT. You

should adopt whatever security measures (such as encryption) you believe are appropriate to your business. Your sole and exclusive remedy in relation to issues of reduced connectivity which are within Venture X reasonable control shall be for us to rectify the issue within a reasonable time, following notice from you to Venture X.

  • EXCLUSION OF CONSEQUENTIAL LOSSES: VENTURE X WILL NOT IN ANY CIRCUMSTANCES HAVE ANY LIABILITY TO YOU FOR LOSS OF BUSINESS, LOSS OF PROFITS, LOSS OF ANTICIPATED SAVINGS, LOSS OF OR DAMAGE TO DATA, THIRD PARTY CLAIMS OR ANY CONSEQUENTIAL VENTURE X STRONGLY RECOMMENDS THAT YOU INSURE AGAINST ALL SUCH POTENTIAL LOSS, DAMAGE, EXPENSE OR LIABILITY.

 

  • Financial Limitations to liability: In all cases, Venture X’s liability to you is limited, up to a maximum financial liability equal to 125% of the total fees paid by you between the date services under your agreement commenced and the date on which the claim in question arises.

4.            Fees

  • Service Retainer: Your service retainer will be held by Venture X without generating interest as security for performance of all your financial obligations under an The service retainer or any balance will be returned within 60 days of the termination of your agreement. Upon the settlement of your account in full. Venture X will deduct any outstanding fees and other costs due before returning the balance to you. The service retainer will be returned to you via mail to the address on your membership agreement. Your service retainer will be increased if the monthly office or virtual office fee increases upon renewal or as additional or larger offices are added to your agreement. Venture X reserves the right to increase your service retainer at any time during your agreement if you fail to pay your financial obligation on time.

 

  • Taxes and duty charges: You agree to pay promptly (i) all sales, use, excise, consumption and any other taxes and license fees which You are required to pay to any governmental authority (and, at Our request, You will provide to Us evidence of such payment) and (ii) any taxes paid by Us to any governmental authority that are attributable to your office, where applicable, including, without limitation, any gross receipts, rent and occupancy taxes, tangible personal property taxes, stamp tax/duty or other documentary taxes and
  • Payment: Venture X will send all invoices electronically and you will make payments via an automated method such as ACH or Credit We do require that you enter a form of payment within your member portal so that we may charge your account automatically on a monthly basis. Payment of the initial invoice must be paid within (5) days upon receipt, otherwise a late fee of 15% will be applied.

 

 

  • Late payment If automated payment owed to Venture X fails and is not updated within 5 days of the renewal date, a late fee of 15% will be added to your If a payment is not received after 15 days, your membership will be automatically terminated, your personal belongings will be cleared from any dedicated spaces and any mail addressed to you and/or your company will be returned to sender. We would not like for that to happen, so keep us up to date of any changes on your membership and/or of billing information.
  • Indexation: If an agreement is for a term of more than 12 months, Venture X will increase the monthly fee on each anniversary of the start date in line with the relevant inflation index of 3%.

4.6 Standard services: Monthly fees, plus applicable taxes, and any recurring services requested by you shall be payable monthly in advance.

  • Pay-as-you-use and Additional Variable Services: Fees for pay-as-you-use services, plus applicable taxes, shall be payable monthly in arears at our standard rates which may change from time to time and are available on
  • Discounts, Promotions and Offers: If You benefited from a special discount, promotion or offer, Venture X will discontinue that discount, promotion or offer without notice if you materially breach your agreement.

4.9.   Mail

You may receive mail at the Venture X location with a Virtual Office, dedicated desk, or private office membership. Upon termination of your agreement, all mail services will be terminated as well. We have no obligation to store such mail or packages for more than thirty (30) days after the termination of your membership. If you wish to continue receiving mail at the said Venture X address, you must enter a continued Virtual Office membership which can be a month-to-month membership. As Venture X is an acting CMRA, you do not have the right to change your address at the US Postal Service from the said Venture X address. You must notify all your clients, potential clients, and vendors of your new address

 

manually. If no such Virtual Office is entered, all mail will be returned that is received the day after your termination date.

  • Mail Charges for Non-Mail Memberships: If you have a membership that does not allow use of our address for business purposes and mail & package reception, but you receive mail at our location, you will be notified to cease from using our address for these purposes until you add on or upgrade to a membership that allows for address usage and mail & package reception. If you receive more mail past the first item, you will be charged $20 per piece of mail received. This additional amount will be added to your next month’s invoice.

 

4.11.  No Unlawful or Prohibited Use

As a condition of your use of the Office Space, Premises and Services, you acknowledge and agree that you will not use the Office Space, Premises and/or Services for any purpose that is unlawful or prohibited by law, these terms, conditions, and Notices. You must comply with all relevant laws and regulations in the conduct of your business. You may not use the Office Space, Premises or Services in any manner that could damage, disable, overburden, or impair any Venture X server, or the network(s) connected, interfere with any other party’s use and enjoyment of their workspace, workstation, the Premises or Services or cause an increase in the insurance premiums Venture X pays. You may not attempt to gain unauthorized access to any Services, or accounts, computer systems or networks connected to any Venture X server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services. You hereby represent and warrant that you have all requisite legal power and authority to enter and abide by the terms and conditions of this TOU and no further authorization or approval is necessary. You further represent and warrant that your participation in or use of the Services will not conflict with or result in any breach of any license, contract, agreement or other instrument or obligation to which you are a party.

 

5.0       Collaboration

Please understand that while working at Venture X, collaboration is one of our keys to success, and it can be yours as well. We highly encourage the collaboration of our members in the space and the community outside. However, Venture X is not a place to “sell your service”. During normal work hours, please respect the work of others. There will be a time and place for networking and the “exchange of services”.

 

 

5.1       Eligibility for Membership

A copy of a valid photo ID is required for membership. We have no obligation but reserve the right, in our sole discretion, to perform a background check on any prospective or existing member. Venture X does not discriminate based on race, religion, national origin, or any other legally protected class. Venture X may decline or terminate any membership on any legally permissible basis.

For Resident Members you must sign a form acknowledging an inventory of all furniture and equipment designated for your use, together with a note of its condition, and details of the entry cards and keys issued to you.

5.2       Indemnification

You release, and hereby agree to indemnify, defend and save harmless Venture X and its subsidiaries (whether or not wholly-owned), affiliates, divisions, and their past, present and future officers, agents, shareholders, members, representatives, employees, successors and assigns, jointly and individually, from and against all claims, liabilities, losses, damages, costs, expenses, judgments, fines and penalties based upon or arising out of any breach of this Agreement by you, your negligent actions, errors and omissions, willful misconduct and fraud in connection with the participation in or use of the Office Space, Premises and/or Services. You further agree if you bring a claim or lawsuit in violation of this Agreement, you shall be liable for any attorneys’ fees and costs incurred by Venture X or its respective officers and agents in connection with the defense of such claim or lawsuit. You are responsible for the actions of, and all damage caused by any of your employees, agents, guests, invitees, and pets that you invite to enter any of the

Premises. You shall not make any settlement that requires a materially adverse act or admission by Venture X or imposes any obligation upon Venture X without our written consent. Venture X shall not be liable for any settlement made without its prior written consent.

5.3       Severability

In the event that any provision or portion of this TOU is determined to be invalid, illegal or unenforceable for any reason, in whole or in part, the remaining provisions of this TOU shall be unaffected thereby and shall remain in full force and effect to the fullest extent permitted by applicable law.

5.4       Participation In or Use of Office Space, Premises and Services

You agree that when participating in or using the Office Space, Premises and Services, you will not:

Use the Office Space, Premises or Services in connection with contests, pyramid schemes, chain letters, junk email, or any duplicative or unsolicited message (commercial or otherwise); Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; Conduct any activity that is generally regarded as offensive; Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, obscene, indecent or unlawful topic, name, material or information on or through Venture X internet access; Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same.

Use any material or information, including images or photographs, which are made available through the Office Space, Premises or Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party; Upload files that contain viruses, Trojan Horses, worms, time bombs, cancel bots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property of another.

Restrict or inhibit any other member or invitee from using and enjoying the Premises or Services; Attach or affix any items to the walls or make any other alterations to the Office Space or install antennas or telecommunication lines or devices in the Office Space or the Premises or bring any additional furniture into the Office Space or the Premises, in each case without our prior written consent.

Use the Office Space in a “retail,” or other nature involving frequent visits by members of the public.

Harvest or otherwise collect information about others, including email addresses, without the authorization or consent of the disclosing party; and violate any applicable laws or regulations; and create a false identity for the purpose of misleading others.

You further acknowledge and agree that:

For security reasons, we may, but have no obligation to, regularly record certain areas in the Premises via video; You shall promptly notify us of any change to your contact and payment information; You are at least as old as the legal age for consuming alcohol in the applicable jurisdiction; Your Office Space has a limited capacity. If the number of other individuals regularly using your Office Space exceeds the number allocated to you, you will be required to pay the then current additional fee. We reserve the right to further limit the number of members allowed at any point; Common spaces are to be enjoyed by all our members and guests unless otherwise instructed by us, and are for temporary use and not as place for continuous, everyday work; and

 

You have no expectation of privacy with respect to Venture X’s Internet connection, networks, telecommunications systems or information processing systems (including any stored computer files, email messages and voice messages), and your activity and any files or messages on or using any of those systems may be monitored at any time without notice, including for security reasons and to ensure compliance with Venture X’s policies, regardless of whether such activity occurs on equipment owned by you or Venture X.

5.5       Access Fobs and Keys

Do not reveal your account password or transfer your Access Fob or keys to anyone else (or let them use your account). Do not make any copies of any keys, Access fobs, or other means of entry to our Premise. You are responsible for maintaining the confidentiality of your password and security of your Access. You will be liable for replacement fees should any such property be lost, stolen, or destroyed. Upon Termination of your membership agreement and move-out, if any or all of the Access Fobs provided at move-in are not returned, there will be a $50 replacement fee per access fob deducted from your retainer. Likewise, if any or all the keys provided to you at move-in are not returned there will be a replacement fee of $25 per key deducted from your security retainer. Additionally, there will be a $250 Locksmith fee deducted from your Security Retainer to replace the locks on private offices and filing cabinets for security purposes.

 

VENTURE X MEMBERSHIP HOUSE RULES

Guest Policy: All Community, Community Pro, and Dedicated Desk members will get to bring a guest for an entire day (8 am-5 pm) up to 4 times per month. Please have your guest check in at the front desk with our team. If you have a need for a guest that extends past this usage, please reach out to our onsite team who can assist you with purchasing day passes, meeting rooms, or other membership options.

Meeting rooms:

  • All meeting rooms (Viz Studio, Board Room, and Ideation Studio) must be reserved prior to This can be completed in your member portal or through a Venture X staff member.
  • Your access to the room booked begins and ends at the time it is reserved Therefore, please consider any time you may need for set up/clean up and include that in your booking time.
  • If a meeting room is used without prior reservation or beyond the indicated booking time, your account will be billed If you need extended time in the room, consult a Venture X staff member to ensure there is not a reservation scheduled to come in behind you.

Focus Rooms/Retreat Rooms/Phone Rooms/Wellness Rooms:

  • Focus rooms and the Retreat Room are available on a first-come, first-served They do not require booking.
  • Focus rooms and the Retreat Room have a 90-minute

Respect: Venture X members must be highly respectful of their other Venture Xer’s. We are a professional workspace, where many companies are developing private and secure work. To keep the culture trustworthy, we ask that if you see someone’s monitor, white/black board drawings, or copies to keep it to yourself, and erase it from your memory.

Volume Control: At Venture X you are welcome to use your phone at your desk, however we have provided alternative areas for more privacy. These areas include, but are not limited to, the phone booth couches, the outside seating area, as well as the conference rooms.

Photo ID: A copy of a photo ID is required. We reserve the right to perform a background check on any prospective or existing Member and decline or terminate any membership based on the results of such check. If you intend to have other staff members using the Private Office, please let us know in advance. An Additional Member Agreement may be required to be filled out by each additional and primary member.

Pets: We love our furry friends too, but please keep them at home. Due to allergies and other liability issues, we ask that you do not bring them to Venture X.

Internet Usage: No spamming, posting, or downloading of any files, software, programs, etc., that you know, or should know are illegal and/or inappropriate. Any use of hacking or misuse of one’s computer within Venture X’s workspace will not be tolerated and will be found in termination of membership.

 

Liability: Every person who uses Venture X Services and comes on the Venture X premises is liable for his or her own belongings, actions, and materials, whether a physical product or computer-based software. Should any action cause damage to Venture X property, those persons will be held liable for the repair. If anything happens such as your computer gets hacked, blog goes down, Wi-Fi goes out, or if someone steals from you, Venture X is not legally responsible for these actions and occurrences.

Venture X does not assume any liability or warranty if any manufacturers’ warranty is void.

Guests: Any guest brought by a member must first sign in at the reception desk. All guests must remain with the member whom they came with. The invited member will be responsible for all their guest’s actions. Guests inside a Private Office are not limited to 2 hours for free.

24/7 access: At Venture X, we provide our members with 24/7 access, to come in and work whenever they need. 24/7 access is a secured entry to allow members to come in before or after business hours to get work complete. 24/7 access is not used for other purposes such as sleeping, hosting parties or events, or any other purposes besides working.

Mailing: If you elect to receive mail and packages at one of our locations, please keep in mind that the pickup times are from 9am-5:00 pm Monday-Friday, unless you have 24/7 access to the space. Please note that depending on the package size, it can be stored in our private storage for pick up during normal pick-up hours. We agree to hold your package for up to 3 business days after receipt at no charge, however after the 3rd day there will be a $ 5.00 per package per day continued storage fee. We have no obligation to store such mail or packages for more than (30) days of our receipt or if we receive mail or packages after you terminate your Membership.

Please fill out the United States Postal Service Application for Delivery of Mail Through Agent Form 1583.

Access Fob and Keys: Do not reveal your account password or transfer your Access Fob and or Keys to anyone else (or let them use your account). Do not make any copies of any keys, Access Fobs, or other means of entry to our Premises (each, an “Access Device”). You are responsible for maintaining the confidentiality of your password and security of your Access Device. Replacement and Locksmith fees will be applied for lost, stolen or replacement keys and fobs.

Venture X Name: Venture X owns a license with rights to use its name, logo, slogan, and all other property relating to Venture X. The use of this name and property of Venture X without permission will result in legal actions taken by Venture X.

Other Members: We do not control and are not responsible for the actions of other members. If a dispute arises between members or their invitees or guests, we shall have no responsibility or obligation to participate, mediate or indemnify any party.

Holiday Closings: Regular business hours are 9am to 5pm – Monday through Friday with exception to certain holidays. Members will be notified of closings prior to that day(s). 24/7 Key Holders will continue to have access to the space.

 

Venture X Meeting and Events Terms & Conditions

We hope you enjoy your meeting and/or event at Venture X. We strive to make our meeting facility the best place for everyone. To make this possible, we ask that you read the key points from our “Terms of Use” and follow our very simple, ethical, and common standards.

Terms of Use

Acceptance of Reservation: Space will be confirmed on a definite basis upon confirmation and payment for your booking. Failure to do so will result in function space being released and contract void. We do not hold meeting room spaces or take deposits on spaces.

Payments: The payment is due in full at the time of booking confirmation. The contract shall be void and the reservation shall be cancelled if the payment is not received accordingly or if the payment fails. We do not hold meeting rooms spaces or take deposits on spaces.

Cancellation: Venture X has confirmed the space for exclusive use by your group. Should the entire or partial program cancel, Venture X will collect cancellation fees as liquidated damages, according to the following schedule:

Force Majeure: Any external event classified as an “Act of God” will dissolve the event agreement and relieve both parties from contractual obligations.

Respect: We ask that users of Venture X be highly respectful of the members and individuals that are also utilizing our space. We are a professional workspace, where many companies are developing private and secure work. To keep the culture trustworthy, we ask that if you see someone’s monitor, white/black board drawings, or copies to keep it to yourself, and erase it from your memory.

Event Attendees: The primary event “host” will assume all responsibility for his/hers guest’s actions. Venture X holds the right to remove anyone from the space that violates any of the event terms and conditions.

 

Internet Usage: No spamming, posting, or downloading of any files, software, programs, etc., that you know, or should know are illegal and/or inappropriate. Any use of hacking or misuse of one’s computer within Venture X workspace will not be tolerated and will be found in termination of membership and/or agreements, and no refunds will be granted.

Liability: Every member is liable for his or her own belongings, actions, and materials, whether a physical product or computer-based software. Should any action cause damage to Venture X, that member or members would be held liable for the repair. If anything happens such as your computer gets hacked, blog goes down, Wi-Fi goes out, or if someone steals from you, it’s not on us. We are truly sorry for this, but we are not held legally responsible for these actions.

Space Access: The renter can access the space ONLY at the event booking time for set up, unless otherwise preapproved by VX management. The food delivery must be scheduled at the event time and the renter, and/or the designated person must be present on site for the same. If you need time before the meeting to set up, you must book that time. Same goes for tear-down.

Meeting and Event items: If you are bringing in meeting and event items such as posters, sign in sheets, registration tables, lanyards, presentation supplies etc., this will be required to arrive with the meeting contact on day of arrival. Please speak with your location’s General Manager if you need alternative arrangements.

Audio and Visual: All meeting spaces will offer the standard audio and visual equipment noted by the location General Manager. Please know that Audio and Visual equipment varies by location and by room. If your meeting or event requires additional Audio and Visual equipment, you are permitted to rent these items from a third party at your expense and are required to communicate this to the location’s General Manager. Please note that loudspeakers and audio mixers are prohibited during business hours.

Use of space: All meeting room (Non-Member) guests only have access to the meeting room or event space that has been booked and paid for during the said allotted time frame. Access to the coworking space or location amenities are reserved for members of Venture X. Day passes are available for purchase, please inquire with the onsite team for more details.

Extension of time: In the event your event requires additional time in space, approval must be given first by the onsite management team. Any extension of time for an event will result in additional charges. Please note that evening and weekend events are subject to premium booking rates.

Food and Beverage: Venture X does not arrange, supply or manage any food and beverage needs for your event. Venture X will not assume any responsibility or liability for catering orders that are incorrect or late. Each location would be happy to suggest local caterers, but it will be up to the event contact to arrange.

 

Alcoholic Beverages: Alcoholic beverages are only permitted, if provided by a caterer that holds a liquor license and is in compliance with all applicable state regulations. Venture X does not permit the sale of any alcoholic beverage on property.

Parking: The rules and availability of access to onsite parking vary per location. Please contact your onsite manager to provide you with these details.
